Most NBFCs Are Not Ready for the ₹10 Crore NOF Deadline
The clock is ticking for Non-Banking Financial Companies (NBFCs) in India.
By 31 March 2027, the Reserve Bank of India (RBI) mandates that every NBFC must maintain a minimum Net Owned Fund (NOF) of ₹10 crore. While the deadline may seem distant, the reality is stark—most NBFCs are not financially prepared to meet this requirement.
Failure to comply will not be a minor regulatory lapse. It can severely restrict operations, invite regulatory action, or even force an NBFC to exit the market.
Why the ₹10 Crore NOF Requirement Is a Game-Changer
The RBI’s move is clear and deliberate. Capital adequacy is no longer optional.
-
Capital strength is now non-negotiable
NBFCs must demonstrate long-term financial resilience, not just short-term profitability. -
Weak balance sheets won’t survive
Under-capitalized NBFCs will find it difficult to scale, raise borrowings, or retain RBI approval. -
Smaller NBFCs face tough choices
Many will need fresh funding, mergers, acquisitions, or strategic restructuring to remain compliant. -
RBI is pushing consolidation
The regulatory direction favors fewer but stronger NBFCs with robust governance and capital discipline.
Why Waiting Is the Biggest Risk
Raising capital, restructuring shareholding, or executing a merger takes time—often 12 to 24 months. NBFCs that delay planning may find themselves with limited options, unfavorable valuations, or regulatory roadblocks closer to the deadline.
If you run an NBFC, this is no longer a future concern.
Planning must begin now.
Is Your NBFC on Track?
Ask yourself:
-
Will your NOF cross ₹10 crore by March 2027?
-
Do you have a clear funding or capital infusion roadmap?
-
Is your balance sheet structured for RBI scrutiny?
-
Have you evaluated merger or restructuring options?
If the answer to any of these is uncertain, immediate action is required.
